These Terms and Conditions (“Terms”) govern your access to and use of Hexby, including its website, desktop application, hosted previews, collaboration features and related services (collectively, the “Services”).
The Services are provided by Locofy Pte. Ltd. (“Locofy”, “Hexby”, “we”, “us” or “our”), a company incorporated in Singapore.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Using Hexby
Hexby helps users visualise, review, iterate on and collaborate around software projects using existing codebases, design previews and connected AI coding tools.
Hexby is currently offered as a free beta. Features may change, be limited, or be discontinued as the product develops.
You must be legally capable of entering into these Terms. If you use Hexby on behalf of a company or other organisation, you represent that you have authority to accept these Terms on its behalf.
You are responsible for maintaining the security of your account, sign-in credentials and devices, and for activities carried out through your account. You must provide accurate information and notify us if you suspect unauthorized access.
2. Acceptable use
You may use Hexby only for lawful purposes and with projects, accounts and materials you are authorised to access.
You must not:
- Use Hexby in a way that infringes another person's intellectual property, privacy or other rights.
- Access repositories, accounts, systems or data without authorisation.
- Upload or transmit malicious software, harmful content or unlawful material.
- Interfere with the security, availability or operation of the Services.
- Circumvent usage limits or security controls, impersonate others, or abuse other users.
- Use the Services in breach of applicable laws, export controls or sanctions.
- Copy, resell, sublicense or reverse engineer the Services, except where permitted by us, applicable law or an applicable open-source licence.
You are responsible for obtaining all permissions, consents and rights necessary to use, process or share source code, designs, personal data and other materials through Hexby.
You must exercise appropriate care when using Hexby with confidential, personal, sensitive or regulated information. You are responsible for ensuring that you have the necessary permissions and safeguards, including any required agreements with third-party providers.
Hexby is not intended for use in applications where a failure could reasonably be expected to cause death, personal injury or serious physical or environmental damage.
3. Your content and intellectual property
3.1 Your content
“Your Content” means code, designs, screenshots, prompts, comments, annotations, project information, tasks and other materials you submit, connect, generate or make available through the Services.
As between you and us, you retain your rights in Your Content. These Terms do not transfer ownership of your source code or designs to us.
You grant us non-exclusive permission to access, process, store, reproduce, modify as technically necessary, and transmit Your Content to the extent reasonably necessary to provide the Services you use, maintain their security, provide support and comply with applicable law. This includes making Your Content available to collaborators and third-party integrations you select or authorise.
You represent that you have the rights and permissions needed to provide Your Content and grant these permissions.
3.2 Previews and sharing
Hexby may create, process and host screenshots, rendered interfaces, build preview assets and other technical copies of Your Content to support visualisation, review and collaboration.
You are responsible for selecting recipients, managing access permissions and checking shared material for confidential information, credentials, personal data or other information you do not intend to disclose.
Some preview links may be accessible to anyone who obtains the link, even if the link is difficult to guess. Unless a feature expressly provides authenticated access controls, you should not treat a preview link as a guarantee of confidentiality.
3.3 Hexby intellectual property
The Services, including their software, design, branding and underlying technology, are owned by us or our licensors and are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Services for their intended purposes.
Third-party software, libraries and open-source components remain subject to their own licences and terms.
3.4 Generated output
We do not claim ownership of code or designs generated for you through the Services. Your rights in generated output are subject to applicable law, third-party rights, and any applicable third-party terms or licences.
Generated output may be inaccurate, incomplete, similar to material generated for other users, or ineligible for intellectual property protection. We do not guarantee that generated output is unique or free from third-party claims.
3.5 Feedback
If you voluntarily provide suggestions, ideas or feedback about Hexby, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify and incorporate that feedback into our products and services without payment or attribution to you.
This permission does not extend to unrelated project content merely because you include it in a support request.
4. AI tools, repositories and third-party services
4.1 Connected services
Hexby may connect to source-code repositories, design platforms, AI coding tools and other third-party services, including services offered by GitHub, GitLab, Bitbucket, Figma and AI coding-tool providers.
When you connect a service, you authorise Hexby to access and process the information and resources covered by the permissions you grant and the features you choose to use. Depending on the feature, this may include reading repository files, rendering interfaces, preparing previews, supporting review workflows or facilitating changes to project files.
You are responsible for reviewing the permissions you grant and ensuring you are authorised to connect the relevant account or repository.
4.2 Your AI tools and subscriptions
Hexby is designed to work with AI coding tools and accounts that you choose to connect or use. Unless we expressly state otherwise, Hexby does not provide or resell the subscriptions, model usage or token allowances associated with those tools.
You are responsible for your third-party accounts, subscriptions, usage limits, fees and compliance with each provider’s terms, including any restrictions on automation or connected tools. Disconnecting a tool or closing your Hexby account does not cancel a separate subscription you hold with that provider.
4.3 AI output and project changes
AI-generated output, code changes and previews may be incomplete, inaccurate, insecure or different from your production application. A preview may not fully reproduce the behaviour, performance, accessibility, security or appearance of a production environment.
You are responsible for reviewing, testing and approving output and changes before relying on them, merging them into a repository or deploying them. Maintain appropriate backups and follow your own development, security and review processes.
4.4 Third-party services
Third-party services are subject to their own terms, privacy policies, availability and technical limitations. We do not control and are not responsible for their independent operation, policies, output or availability.
Your use of a third-party service through Hexby remains subject to that provider’s applicable terms.
5. Privacy
Our Privacy Policy explains how we collect, use, disclose, store and otherwise process personal data in connection with the Services.
By using Hexby, you acknowledge that your personal data will be handled as described in that policy, subject to any consent or other legal basis required by applicable law.
6. Free beta, availability and termination
6.1 Beta availability
Hexby is currently offered as a free beta. The Services are under development, and features, integrations, usage limits and availability may change without notice where permitted by law.
We do not guarantee that the beta will remain free, that any particular feature will remain available, or that the Services will be continuously available.
6.2 Suspension and termination
You may stop using Hexby at any time.
We may suspend, restrict or terminate your access where reasonably necessary because of a breach of these Terms, legal requirements, security concerns, misuse or risks to the Services or other users. Where reasonably practicable, we will provide notice and an opportunity to address the issue.
We may remove or restrict access to content that violates these Terms, applicable law or another person's rights.
To request account closure, contact support@hexby.ai. Before closing your account, save any content you need. Closing your account may end access to hosted content, which may be deleted in accordance with our Privacy Policy and legal obligations. Copies stored locally, by collaborators or by independent third-party providers may remain.
Provisions that by their nature should continue after termination, including provisions concerning intellectual property, disclaimers, liability and third-party claims, will survive termination.
6.3 Events beyond our control
We are not responsible for delays or failures caused by circumstances beyond our reasonable control, subject to applicable law and any express commitments in a separate written agreement.
7. Disclaimers and limitation of liability
7.1 Disclaimer
To the extent permitted by law, the Services are provided “as is” and “as available”, without warranties of uninterrupted operation, accuracy, fitness for a particular purpose or non-infringement.
To the extent permitted by law, we do not warrant that the Services will be error-free, secure, continuously available, compatible with every system, or capable of producing accurate or suitable output.
You are responsible for evaluating the suitability of the Services for your needs and for maintaining appropriate backups of your code, designs and other important materials.
7.2 Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential losses, including lost profits, business interruption or loss of data.
To the extent permitted by law, our total liability arising from or in connection with the Services will not exceed SGD 100.
Nothing in these Terms excludes liability or limits rights that cannot lawfully be excluded or limited, including applicable consumer rights.
8. Third-party claims and indemnity
To the extent permitted by law, you agree to reimburse us for reasonable losses and legal costs arising from third-party claims caused by your unlawful use of the Services, your breach of these Terms, or Your Content infringing another person's rights.
This does not apply to the extent a claim results from our own breach, negligence or misconduct.
We will notify you of a claim, allow reasonable participation in its defence, and will not agree to a settlement that imposes obligations on you without your consent.
9. Changes and governing law
We may update these Terms from time to time and will publish the revised version with an updated date. We will provide additional notice of material changes where required by law.
Continued use of the Services after revised Terms take effect constitutes acceptance, except where applicable law requires a different form of agreement.
These Terms are governed by the laws of Singapore. Disputes are subject to the courts of Singapore, except where applicable law gives you mandatory rights to another law or forum.
Please contact us first so that we can try to resolve any concern.
10. General provisions
These Terms, together with any applicable order or separate written agreement with us, form the agreement governing your use of Hexby. A separate written agreement takes priority where it expressly changes these Terms.
If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a right does not waive that right.
You may not transfer your agreement without our consent. We may transfer it as part of a business reorganisation, merger or sale, provided your mandatory rights remain protected.
We may use contractors and service providers to deliver the Services and remain responsible for our obligations under these Terms. These Terms do not create a partnership, agency or employment relationship, or give enforcement rights to unrelated third parties.
